LawRedact Software & Website Terms of Use

Welcome to LawRedact. These Terms of Service ("Terms") are a binding agreement between you and LawRedact ("we," "us," or the "Developer") governing your access to and use of LawRedact desktop and mobile software and the website at www.lawredact.com (collectively, the "Services").
By installing, purchasing, or using LawRedact Products, or by accessing, ordering, or activating services on our website, you confirm that you have read, understood, and agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.
If you do not agree, do not install, use, or access the Services.
1. Definitions
"Software" means the LawRedact desktop and mobile applications, bundled models, rule libraries, documentation, and related components.
"Website Services" means pages, product information, online purchase, license delivery, activation, support, and related functions provided through www.lawredact.com.
"User" or "you" means the individual or organization that installs, uses, or accesses the Services.
"License" means the right to use the Software within the platforms and device counts covered by your purchase, evidenced by a license key, order credentials, or other method we recognize.
"Documents" means any files and their contents that you open, import, capture, review, redact, or export in the Software.
2. License Grant
Subject to these Terms and a valid License, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software within the purchased platforms and device limits.
This license permits use of the Software's functionality only. It does not transfer any intellectual-property rights. All rights in the Software, documentation, UI, icons, bundled models, algorithms, and marks such as "LawRedact" remain with us or our licensors.
Trial, beta, or otherwise limited editions may include device, time, or feature restrictions. Use beyond those restrictions is not licensed.
3. Acceptable Use
You may use LawRedact only for lawful purposes, including legal-document redaction, personal-information protection, compliance workflows, and authorized business use.
You must not, and must not assist others to:
(1) reverse engineer, decompile, disassemble, crack, or otherwise attempt to obtain source code, bundled models, or core algorithms;
(2) modify, adapt, translate, or create derivative works based on the Software;
(3) rent, lend, resell, sublicense, distribute installers, license keys, or provide unauthorized access;
(4) remove, obscure, or alter copyright, trademark, or other proprietary notices;
(5) use the Services in violation of applicable law, third-party rights, or network security requirements;
(6) automate access to website APIs, bypass license validation, or interfere with normal operation.
You are responsible for safeguarding license keys, order links, and device access, and for activities occurring under your credentials or devices.
4. Offline Processing & Your Responsibilities
LawRedact performs recognition and redaction locally. Your document originals are not uploaded to our servers. Sharing redacted files through the OS or third-party apps is your decision and at your risk.
Outputs depend on models, rules, and your review. Format complexity, scan quality, mixed languages, or ambiguous context may cause misses or false positives. You must perform appropriate manual review before external submission, filing, or distribution and remain solely responsible for accuracy, completeness, and compliance.
LawRedact is an assistive tool. It does not provide legal advice, compliance certification, or a guarantee of regulatory satisfaction. You must evaluate whether results meet anonymization, de-identification, or confidentiality requirements for your scenario.
5. Website Services & Digital Goods
Unless stated otherwise, licenses purchased on the website are one-time digital goods, not subscriptions. Confirm platform, plan, device count, and discount eligibility before checkout.
After payment, we provide download instructions, license keys, or order access credentials as described on the site. You must supply a valid email address.
Activated licenses are generally non-refundable. Unactivated orders within 7 days of purchase and without download through our provided channels may request a full refund under the published refund policy.
Discount eligibility (e.g., student, faculty, public sector) must be declared accurately at checkout. We may request reasonable proof and may revoke discounts or licenses if eligibility was misrepresented.
Enterprise volume licensing, custom deployment, or non-standard transactions are governed by separate written agreements or special terms we publish.
6. Disclaimer & Limitation of Liability
To the maximum extent permitted by law, the Software and Website Services are provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, error-free operation, and complete detection accuracy.
We are not liable for any indirect, incidental, special, punitive, or consequential damages arising from use or inability to use the Services, including lost profits, data loss, business interruption, or reputational harm, even if advised of the possibility.
Our aggregate liability for all claims relating to the Services is limited to the amount you actually paid us for the License giving rise to the claim; for free or trial use, liability is zero or the minimum permitted by law.
Nothing in these Terms excludes liability that cannot be excluded for intentional misconduct or gross negligence under applicable law.
7. Intellectual Property
Except for the limited license granted here, all intellectual property in the Software and website content remains with us or our licensors. You may not copy, distribute, publicly display, or exploit it for commercial purposes without written permission.
You retain ownership of your source documents and redacted outputs you approve. We claim no rights in your document content.
If you submit feedback, suggestions, or bug reports, you grant us a non-exclusive, royalty-free, perpetual license to use that feedback to improve products, subject to your confidentiality obligations.
8. Updates, Suspension & Termination
We may release updates to fix defects, improve features, or address security and compliance needs. Some updates are delivered through app stores or installers; reasonable updates may be required to continue using certain features.
If you materially breach these Terms, we may suspend or terminate your License and website access without refund except where required by law.
You may stop using the Software at any time and uninstall local copies. Upon termination, you must cease unauthorized use; local data on your devices remains your responsibility.
Website features may change temporarily or permanently due to maintenance, upgrades, or policy adjustments. We will provide notice when practicable.
9. Privacy
Our Privacy Policy, published on the website, explains how we handle personal information and is incorporated into these Terms.
Document processing occurs in your local environment. You are responsible for securing devices, operating systems, and backups against unauthorized access.
10. Governing Law & Disputes
These Terms are governed by the laws of the People's Republic of China (mainland), excluding conflict-of-law rules.
Disputes shall first be resolved through good-faith negotiation. If negotiation fails, either party may bring suit in a court of competent jurisdiction where the Developer is located.
11. General
We may revise these Terms by posting an updated version on the website. Continued use after an update constitutes acceptance. If you disagree, stop using the Services and contact us regarding pending matters.
These Terms constitute the entire agreement regarding the Services and supersede prior oral or written understandings on the same subject.
If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
Failure or delay in enforcing any right is not a waiver.
